1. Definitions

"We", "us", "our" refers to Bespoke Website Designs. "Client", "you", "your" refers to the individual or business commissioning our services. "Services" means the website design, development, hosting and maintenance services we provide. "Deliverables" means the website, content and assets produced under an engagement.

2. Website design services

We provide bespoke website design and development services as described on our website or in a written quote. The exact scope of each project is defined in the order confirmation or proposal accepted by the Client.

3. Client responsibilities

The Client agrees to provide, in a timely manner, all content, images, branding assets and feedback needed to complete the project. The Client warrants that all materials supplied do not infringe third-party rights and are accurate and lawful.

4. Project timelines

Indicative timelines are provided at the start of each project. Timelines depend on the Client supplying content and feedback promptly. Delays caused by the Client may extend delivery dates without penalty to us.

5. Revisions policy

Each package includes a defined number of revision rounds. Additional revisions outside the included scope will be quoted separately at our standard hourly rate. Maintenance customers receive 2 hours of amends per month.

6. Payment terms

Invoices are payable within 14 days of issue unless otherwise agreed in writing. Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.

7. Deposits and refunds

A non-refundable deposit of 50% is required to begin work. The balance is due on launch. Deposits are non-refundable once work has commenced. Refunds for cancelled projects are calculated pro-rata based on work completed.

8. Intellectual property ownership

On full payment, ownership of the final website design and bespoke code transfers to the Client. We retain ownership of any pre-existing tools, libraries, frameworks and methodologies used to deliver the project, and grant the Client a perpetual licence to use these as part of the deliverables.

9. Website hosting responsibility

Where hosting is provided by us, we maintain reasonable uptime but do not guarantee uninterrupted service. Where the Client arranges their own hosting, we are not responsible for issues caused by the hosting provider.

10. Third-party services

Projects may include third-party services (e.g. payment gateways, analytics, fonts, plugins). The Client is responsible for any third-party subscription fees and bound by those providers' own terms.

11. Limitation of liability

Our total liability for any claim arising from our services is limited to the fees paid for the engagement giving rise to the claim. We are not liable for indirect, consequential or loss-of-profit damages. Nothing in these terms limits liability for death, personal injury caused by negligence, or fraud.

12. Project cancellation policy

Either party may cancel an engagement with written notice. The Client remains liable for work completed up to the cancellation date. Deposits paid are non-refundable as set out in section 7.

13. Support and maintenance terms

Maintenance is provided on a monthly subscription basis. The subscription includes 2 hours of amends per month and a maximum 48-hour turnaround for routine requests. Unused hours do not roll over. Either party may cancel with 30 days' notice.

14. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement and to use it only for the purposes of delivering the services.

15. Data protection and GDPR compliance

We process personal data in accordance with our Privacy Policy and the UK GDPR. Where we process data on the Client's behalf, we act as a data processor and the Client as data controller; a data processing agreement is available on request.

16. Governing law

These terms are governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
